Welcome to The Whistl. These Terms of Service ("Terms") govern your use of the website at thewhistl.com and the associated mobile applications (collectively, the "Service") operated by The Whistl ("we," "us," or "our").
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Service.
1. Eligibility
You must be at least 18 years of age to create an account and use the Service. If you are under 18, you may only use the Service through a parent or guardian's account. By using the Service, you represent and warrant that you meet these eligibility requirements.
2. Accounts
2.1 Account Creation
To use certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated.
2.2 Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.
2.3 Account Types
The Service provides different account types with different levels of access, including but not limited to: Commissioner, Athletic Director, Manager, Coach, Parent/Guardian, and Fan accounts. Your access to features and data within the Service depends on your account type and the permissions granted by your organization.
3. Use of the Service
3.1 Permitted Use
You may use the Service for its intended purpose: managing youth sports leagues, teams, registration, scheduling, scoring, and related activities.
3.2 Prohibited Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable laws
- Impersonate any person or entity, or misrepresent your affiliation with any person or entity
- Interfere with or disrupt the Service or servers connected to the Service
- Attempt to gain unauthorized access to any part of the Service
- Use the Service to send spam, unsolicited messages, or promotional materials
- Harvest or collect information about other users without their consent
- Use the Service for any commercial purpose unrelated to youth sports management
- Reverse engineer, decompile, or disassemble any part of the Service
- Upload or transmit any malicious code, viruses, or harmful content
- Use the Service in connection with gambling, betting, or fantasy sports activities
4. Content
4.1 Your Content
You retain ownership of content you upload to the Service, including photos, videos, messages, documents, and other materials ("Your Content"). By uploading Your Content, you grant us a non-exclusive, worldwide, royalty-free license to use, store, and display Your Content as necessary to provide the Service.
4.2 Content Standards
You are responsible for Your Content and agree that it will not contain material that is offensive, defamatory, obscene, harmful, or otherwise objectionable. We reserve the right to remove any content that violates these Terms.
4.3 Public Content
Certain content within the Service may be displayed publicly on league websites, including team names, schedules, scores, standings, announcements, and documents designated as public by league administrators. By publishing this content through the Service, you consent to its public display.
5. Fees and Payments
5.1 Platform Fee
The Service is free for leagues, teams, and coaches. A per-registration platform fee is charged to parents/guardians as part of the registration process. The current platform fee is disclosed during the registration flow.
5.2 Registration Fees
Organizations may set their own registration fees, which are collected through the Service. The Whistl processes these payments on behalf of the organization using third-party payment processors. The Whistl is not responsible for the pricing set by organizations.
5.3 Refunds
Refund policies are determined by each organization. Organizations may issue full or partial refunds through the Service's refund tools. Disputes regarding registration fees should be directed to the organization that collected the fee.
6. Privacy
Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using the Service, you consent to the practices described in the Privacy Policy.
7. Intellectual Property
The Service, including its design, code, features, logos, and content created by The Whistl, is owned by The Whistl and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent.
8. Third-Party Services
The Service may integrate with or contain links to third-party services (e.g., payment processors, calendar services, map providers). We are not responsible for the availability, accuracy, or practices of these third-party services.
9. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE WHISTL AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:
- Your use or inability to use the Service
- Any unauthorized access to or use of our servers or personal information
- Any interruption or cessation of the Service
- Any errors or omissions in any content
IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
11. Indemnification
You agree to indemnify, defend, and hold harmless The Whistl and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or in connection with your use of the Service, your violation of these Terms, or your violation of any rights of a third party.
12. Termination
We may terminate or suspend your account and access to the Service at our sole discretion, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for any other reason. Upon termination, your right to use the Service will immediately cease.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Ohio, United States, without regard to its conflict of law provisions. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Ohio.
14. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last Updated" date. Your continued use of the Service after any changes constitutes your acceptance of the new Terms.
15. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
16. Entire Agreement
These Terms, together with the Privacy Policy, Children's Privacy Policy, and License Agreement, constitute the entire agreement between you and The Whistl regarding the use of the Service.
